Digital Product Licence Terms

These Digital Product Licence Terms apply to digital templates, toolkits, dashboards, trackers, frameworks, playbooks, documents, spreadsheets, presentations and other downloadable resources purchased from Joseph Ochonu Resources.

By purchasing, downloading, accessing or using a product, you agree to these Licence Terms.

Digital products are supplied electronically. No physical product, printed copy or physical shipment is included unless expressly stated on the applicable product page.

1. Licence Grant

Your purchase grants you a limited, non-exclusive, non-transferable and non-sublicensable licence to use the purchased product for your own personal, professional, business or internal organisational activities.

The product is licensed, not sold. Your purchase does not transfer copyright, intellectual-property ownership or ownership of the original resource files.

Unless a product page or separate written agreement expressly states otherwise, each purchase provides a single-user professional licence for one authorised purchaser.

A single-user professional licence permits the authorised purchaser to access and work directly with the original editable resources. It does not grant direct access rights to the purchaser’s employer, clients, colleagues, contractors, departments or other users.

Bundle Purchases

Where a purchase includes multiple products or resources as a bundle, the licence applies to the complete bundle as purchased. It does not permit the purchaser to separate, resell, redistribute, share or transfer individual resources from the bundle to other users unless expressly permitted by applicable product-specific terms or written permission from Joseph Ochonu Resources.

2. Permitted Use

Under the single-user professional licence, the authorised purchaser may:

Download and retain the purchased resources.
Create reasonable backup copies for the purchaser’s own secure use.
Customise and adapt the resources for the purchaser’s own projects, work, business processes and professional activities.
Use the resources in performing work for the purchaser’s employer or organisation, provided that the original editable resources remain accessible only to the authorised purchaser and are not shared with other users.
Enter the purchaser’s own data, branding, project information and business content into the resources.
Use adapted resources in professional, consulting or client engagements.
Incorporate adapted content into project plans, registers, reports, presentations, dashboards, analyses and other completed deliverables.
Reuse the purchased resources across the purchaser’s own projects, subject to these Licence Terms.

3. Client Deliverables

The authorised purchaser may use adapted versions of the resources when providing professional services to clients.

The purchaser may provide a client with a completed or substantially adapted deliverable created using the resources, such as a completed report, populated register, project plan, presentation, dashboard or client-specific document.

A completed deliverable may be provided to a client as part of a professional service, provided that the deliverable does not function primarily as a substitute for the purchased product or template collection.

The purchaser may not provide a client with:

The original downloaded toolkit or resource collection.
Blank or substantially unchanged editable templates.
Original source files intended for reuse as a standalone template library.
A substantial portion of the purchased resource collection.
Files that allow the client to extract, reproduce or redistribute the original product as a competing resource.

If a client requires independent access to the original editable resources, the client must purchase the applicable product or contact Joseph Ochonu Resources regarding written permission or appropriate licensing options.

4. Organisational and Team Use

A single-user professional licence allows one authorised purchaser to access and work directly with the original editable resources.

The purchaser may use the resources while carrying out work for their employer or organisation, but may not upload the original files to a shared drive, internal library, knowledge base, intranet or other location where multiple users can independently access, copy or reuse them.

Where several employees, contractors, departments or independent users require direct access to the original editable files, contact Joseph Ochonu Resources regarding written permission or appropriate team or organisational licensing options.

5. Prohibited Use

You may not:

Resell, redistribute, sublicense, lease, rent, lend, transfer or give away the original resources.
Share the original files publicly or privately with an unauthorised third party.
Upload the original resources to websites, marketplaces, file-sharing platforms, repositories, membership libraries, shared drives or public databases.
Repackage the resources for sale as templates, toolkits, courses, bundles, downloads, memberships or other digital products.
Sell or distribute substantially unchanged versions of the resources.
Use the resources to create a competing template, toolkit, dashboard, framework or resource library for resale or redistribution.
Claim authorship, copyright ownership or original creation of the purchased resources.
Remove or alter copyright notices, licence notices, watermarks or attribution where these are included in a resource.
Transfer your purchase or licence to another person, business or organisation without written permission.
Use the resources for unlawful, fraudulent, misleading or harmful purposes.
Assist another person or organisation in carrying out any prohibited use.

For these Licence Terms, “substantially unchanged” means a resource that remains materially similar to the original product in structure, content, design or functionality, even if minor edits, branding, formatting or data have been added.

6. Intellectual Property and Ownership

All rights, title and interest in the original products remain with Joseph Ochonu Resources or the applicable rights holder.

This includes the original templates, toolkits, dashboards, trackers, playbooks, frameworks, documents, designs, written content, graphics, branding, systems and resource collections.

Customising a resource, entering your own data or adapting it for a project does not transfer ownership of the underlying original resource.

You retain ownership of your own original data, branding and content added to the resources.

7. Lifetime Use and Access

Unless otherwise stated on the product page, your purchase provides ongoing rights to use the version of the resource you lawfully downloaded, subject to these Licence Terms.

“Lifetime access” does not mean:

Transfer of copyright or intellectual-property ownership.
Permission to resell, redistribute or share the files.
Guaranteed availability of the store, delivery app, download link or hosting service forever.
Automatic access to future products, separate editions or resources not included in the original purchase.

You are responsible for downloading your purchased files promptly and retaining secure backup copies.

8. Updates

Some products may receive corrections, improvements or updated files.

Unless expressly promised on the product page:

Updates are provided at the discretion of Joseph Ochonu Resources.
The timing, content and availability of updates may vary.
Updates are not guaranteed indefinitely.
An update does not grant access to separate products, future bundles or resources that were not included in the original purchase.

Any update supplied under the original purchase remains subject to these Licence Terms.

9. Product-Specific Terms

A product page, order confirmation or separate written agreement may include additional licence terms for a particular product, team, organisation or use case.

Where valid product-specific terms expressly differ from these general Licence Terms, the product-specific terms apply to that particular purchase and use.

No verbal statement or informal message changes these Licence Terms unless confirmed in writing by Joseph Ochonu Resources.

10. Licence Termination

Your licence may be terminated if you materially breach these Licence Terms.

If the licence is terminated, you must stop using the resources and delete all unauthorised copies in your possession or control.

Termination does not limit any other legal rights or remedies available to Joseph Ochonu Resources in relation to infringement, unauthorised distribution or misuse.

11. Mandatory Legal Rights

Nothing in these Licence Terms excludes or limits any consumer right or other legal protection that cannot lawfully be excluded under applicable law.
